Terms of Service

These terms govern your use of the agentnoda platform ("the Service") operated by KSVARAMP VOICE TECH PRIVATE LIMITED ("we", "us", "KSVARAMP") in India.

By signing up for, accessing, or using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service.

1. The Service

agentnoda is a business-to-business platform for AI-powered outbound and inbound calling, SMS, and contact management. Features include AI voice agents, call recording and transcription, AI-generated summaries, lead management, sequence workflows, and integration with third-party systems.

2. Eligibility

You must be at least 18 years old and authorised to bind the legal entity using the Service. The Service is for business use; consumer use is not supported.

3. Your account

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately at karthik@ksvaramp.com if you become aware of unauthorised access.

4. Acceptable use

You agree that, when using the Service, you will:

  • Obtain all consents required under Indian law before contacting any individual, including under the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and TRAI's Telecom Commercial Communications Customer Preference Regulations, 2018 (TCCCPR) including DLT registration where applicable.
  • Comply with the National Customer Preference Register (NCPR / DND) and TRAI calling-hours rules.
  • Not use the Service to send unsolicited commercial communications, harass, impersonate, deceive, or defraud any person.
  • Not transmit malware, attempt to gain unauthorised access to the Service, reverse-engineer it, or interfere with its operation.
  • Not use the Service in any way that breaches Indian law or any applicable foreign law.

We may suspend or terminate your account immediately for breach of this section.

5. Your data

You retain ownership of all content, contact lists, recordings, and other data you upload or generate via the Service ("Your Data"). You grant us a limited licence to process Your Data solely to operate, secure, and improve the Service, in accordance with our Privacy Policy.

We act as a Data Processor with respect to Your Data; you remain the Data Fiduciary under the DPDP Act. You are responsible for ensuring you have the right to upload and use Your Data through the Service.

6. Billing

  • Prices are shown in Indian Rupees (INR), exclusive of GST. 18% IGST is added at checkout where applicable.
  • Subscriptions are billed monthly or annually in advance via our payment processor (Razorpay).
  • Per-call, per-minute, and per-SMS usage is charged against your credit balance.
  • Refunds are at our discretion and provided in accordance with our refund policy and the Consumer Protection Act, 2019.

You authorise us to charge your stored payment method for all fees due.

7. Intellectual property

KSVARAMP owns all rights in the Service, including the software, models, prompts, and brand. You are granted a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these terms.

8. AI outputs

The Service uses third-party AI models (including OpenAI and ElevenLabs) to generate call audio, transcripts, summaries, and other content. AI outputs may contain errors, omissions, or hallucinations. You are responsible for reviewing AI outputs before relying on them and for any decisions made based on them.

9. Warranties and liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, except as required by the Consumer Protection Act, 2019 and other applicable Indian law.
  • We are not liable for any indirect, consequential, special, or punitive damages, or for any loss of revenue, profit, goodwill, or data, regardless of theory of liability.
  • Our total aggregate liability arising out of or in connection with the Service is limited to the fees paid by you to us in the 12 months preceding the event giving rise to the claim.

Nothing in these terms excludes any liability that cannot lawfully be excluded under Indian law.

10. Indemnity

You will indemnify us against any claim, loss, or expense arising from your breach of these terms, your misuse of the Service, or your violation of any applicable law or third-party right (including privacy, TCCCPR, DLT, and DND obligations).

11. Termination

Either party may terminate the subscription at any time, effective at the end of the current billing period. We may suspend or terminate the Service immediately for material breach (including non-payment or acceptable-use breach). On termination, you may export Your Data for 30 days; after that, we may delete it in accordance with our retention schedule.

12. Changes

We may update these terms from time to time. Material changes will be notified by email to account holders at least 30 days before they take effect.

13. Governing law and jurisdiction

These terms are governed by the laws of India. The parties submit to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu.
